b. CHANGES. Buyer shall make additional payments for any changes requested in the original assignment. However, no additional payment shall be made for changes required to conform to the original assignment description. The buyer shall offer Dezines Internet Solutions Limited, first opportunity to make any changes.
c. EXPENSES. Buyer shall reimburse Dezines Internet Solutions Limited for all expenses arising from this assignment, including but not limited to all those listed in this document and the payment of any sales taxes due on this assignment (currently 20% Value Added Tax as per UK tax rules). Buyer’s approval shall be obtained for any increases in fees or expenses, that exceed the original estimate by 20% or more.
d. CANCELLATION. In the event of cancellation of this assignment, ownership of all copyrights and the original work shall be retained by Dezines Internet Solutions Limited, and a cancellation fee for work completed, based on the contract price and expenses already incurred, shall be paid by the Buyer. Buyer shall where supplied, return such artwork/media within fourteen (14) days of termination.
e. OWNERSHIP OF ARTWORK. Dezines Internet Solutions Limited retains ownership of all original artwork, digital content, digital video and digital photography created by us, whether preliminary or final unless full rights are transferred. Indefinite Licences may be extended to any work supplied, but we reserve the right to apply Licence Fees. Where we do not expressly transfer all copyright ownership to the client, we will identify any terms of agreement in Purchase Orders & or Licensing Contracts made between us. Our work is protected under International & UK law and we will vigorously defend our rights of ownership where copyright infringement involves our work. This includes but is not limited to interactive media, application rich website development, ecommerce website development, graphics, photography, video & film production including Flash video and music/sound production created by us. Any music supplied by us but not created by us, will have all rights of ownership retained by the music creator and we will have paid duelicence fees to the owner for its use accordingly. We do not condone copyright infringement and make every effort within our capacity to ensure all work purchased in, is legal and managed accordingly. We are affiliated with SONY Music BMG and an official Adobe UK Partner. Any logos or trademarks relating to these companies are owned by them. We may track digitalassets created by us via specialist infringement and asset protection software.
f. CREDIT LINES. Credit line shall be in the form of a URL logo and or a freephone number. The Buyer shall give Dezines Internet Solutions Limited and any other creators a credit line, with any editorial usage (if required), including but not limited to any of the following;

g. RELEASES. Buyer shall indemnify Dezines Internet Solutions Limited against all claims and expenses, including reasonable legal fees, due to uses for which no release was requested in writing or for uses which exceed authority granted by a release.
h. MODIFICATIONS. Modification of the Agreement must be in writing, except that the invoice may include, and the Buyer shall pay, fees or expenses that were orally authorized, in order to progress promptly with the assignment. Complex projects will be documented on an internal ‘Job Sheet’ to evidence all work undertaken and the schedule of work completed.
i. END USER AGREEMENT. Our End User Agreement (herein referred to as the ‘EUA’) is applicable to any Online Business System that we provide to our clients as an Official UK Adobe Partner. Our EUA can be viewed online at: http://dezines.eu/EndUserTerms.htm Clients who have purchased any of our Online Business Systems, should view the EUA to familiarise themselves with the terms & conditions applicable to our EUA accordingly.
j. LAW. All aspects of this agreement are overed by the laws of England & Wales, United Kingdom & the laws of the United States of America in the case of business secured in the USA.
